NOTICE OF CHANGE OF TERMS AND CONDITIONS
Effective May 25, 2022 for existing customers, we’ve made several improvements to the Tipalti Services Agreement (previous version here) and Data Processing Addendum (previous version here) to clarify our terms. Changes to the Tipalti Services Agreement include:
Improving the overall readability and clarity in our use of language
Section 2 – centralizing the location of usage limitations and third party service provisions that were located in other parts of the agreement
Section 3 – clarifying our existing policy of selling named users as specified on the order form
Section 6 – updating our Fee policy
Section 13 – clarifying the references to GDPR and our related classifications
Definition of Tipalti – for new customers we’re separating the contracting Tipalti entity by the location of the customer. If your Order Form specifies a certain Tipalti contracting entity, this notice will not serve as an assignment unless and until Tipalti reaches out individually to you.
Standard Services Schedule – adding ACH Debit rights on request in limited circumstances
Changes to the Data Processing Addendum include:
Section 1 and 8 – updated definition of Standard Contractual Clauses to refer to the version released on June 4, 2021, and added a definition referring to the UK International Data Transfer Agreement. References to the correct SCC’s and UK IDTA were clarified in Section 8.
Section 2.5 – added to clarify the obligations of a Data Processor in relation to this Agreement.
Section 2.6 – added reference to CCPA obligations under this Agreement.
Section 4 – The authorization required for Tipalti’s contracting with sub processors was updated in line with new regulatory requirements, and the contracting process was further clarified.
Section 5 and Schedule 2 – Section 5 was updated to provide additional information on Tipalti’s security practices and to refer to Schedule 2 (Technical and Organizational Measures). Schedule 2 was added to expand on Tipalti’s standard security measures.
By continuing to use the Tipalti Services on or after May 25, 2022, you agree to the new Tipalti Services Agreement. If you do not agree, you may stop using the Tipalti Services.
