Notice of Change of Terms and Conditions

We’ve made several improvements to the Tipalti Services Agreement and schedules (“Terms”) located at https://tipalti.com/legal/, to cover new services and features, and to provide additional helpful information on our processes.

For new customers: The new Terms apply as of the date of publication, which is October 14, 2026 unless otherwise stated below, for all new customers who agree to them on or after that date.

For existing customers: By continuing to use the Tipalti Services on or after November 13, 2026, you agree to the new Terms that apply to you. If you do not agree, you must stop using the Tipalti Services. If you have questions regarding the updated Terms, please contact customersuccess@tipalti.com.

The Terms are updated as briefly summarized below:

Updates to the Tipalti Services Agreement

  • Section 2.5 (Beta Services): Added language to clarify the scope and pricing of Beta Services
  • Section 2.7(Service Update): Added a new section addressing updates to, and modification and replacement of the Services, and Tipalti’s related notice obligations
  • Section 9.4 (Disclaimer): Expaneded the disclaimer to cover AI features and AI-generated outputs
  • Section 13.9 (Tipalti Contracting Entity, Governing Law, Binding Arbitration, and Waiver of Jury Trial): Added a new definition clarifying that Customer’s domicile is Customer’s principal place of business

Updates to the Standard Services Schedule

  • Section 1.5 (U.S. Instant Payment): Added new terms governing Tipalti’s U.S. Instant Payment service offering

Updates to the Tipalti Cards Schedule

  • Section 3.1 (Amounts Due): Added language to clarify cross-border fees and currency conversation fees on card transactions
  • Section 3.5 (Pass-Through Fees): Added a new section to clarify the pass-through fees charged by the card Program Manager, Issuer, or the network on cross-border card transactions and currency conversions.

New Premium ACH Schedule

  • Added a new Premium ACH Schedule, which governs Tipalti’s Premium ACH services and supplements the Tipalti Services Agreement

New MCP Services Schedule

  • Added a new MCP Services Schedule, which governs Tipalti’s MCP services and supplements the Tipalti Services Agreement

New Stablecoin Payment Terms

  • Added new Stablecoin Payment Terms, which govern Customer’s use of stablecoin payments and are incorporated into the Tipalti Services Agreement
