Tipalti Flinks Schedule

This schedule (“Flinks Schedule”) describes additional terms and conditions applicable to Customers who use Flinks’ API through Tipalti (“Flinks Service”) and is hereby incorporated into and made a part of the Tipalti Services Agreement for such Customers. If in conflict with any part of the Tipalti Services Agreement, the Flinks Schedule will control as it relates to the Flinks Service. Capitalized terms not defined herein have the meaning ascribed to them in the Tipalti Services Agreement.
1. Flinks Service. When Customer logs into a third-party financial institution using the Flinks Service and Customer’s username and password, Customer thereby (1) enables and authorizes Flinks to retrieve Customer’s financial data and provide it to Tipalti (2) accepts the terms and conditions of the Flinks Schedule.
2. Proprietary Rights. Customer may use information, data and other materials delivered through the Flinks Service only in Tipalti. Customer shall not copy, reproduce, distribute, or create derivative works from such information, data, or other materials. Customer shall not reverse engineer or reverse compile the Flinks Service technology.
3. Content You Provide. Customer hereby licenses to Flinks and Tipalti all data, passwords and other information submitted through and to the Flinks Service (collectively, “Content”). Tipalti and Flinks may use, modify, display, distribute and create new material using Content as permitted by applicable law. By submitting Content, Customer states it owns such Content and authorizes Tipalti and Flinks to use it for the Purpose (defined below).
4. Privacy. Tipalti will handle Content in accordance with Tipalti’s Privacy Policy. For Tipalti’s Privacy Policy, visit https://tipalti.com/privacy. If the Flinks Service is discontinued, Tipalti will retain Content in accordance with Tipalti’s Privacy Policy.
5. Third Party Accounts. By using the Flinks Service, Customer is deemed to authorize Tipalti and Flinks to link, on Customer’s behalf, to the accounts designated by Customer (“Accounts“), and Customer authorizes Tipalti to (1) use Content to validate and verify Customer and Accounts, (2) use Content to verify that Customer owns Accounts (3) configure the Flinks Service so it is compatible with Accounts’ third party service providers (4) reproduce, adapt, enhance, aggregate, and display Content in Tipalti (“Purpose”). Customer states the foregoing authorization and access does not and will not violate a third-party access agreement. In no event shall Tipalti, Flinks or their respective affiliates be responsible for Customer violating any such agreement. Customer states it will comply with the terms and conditions of Accounts and understands neither the Flinks Schedule nor Tipalti Services Agreement amend those terms and conditions. Links to third-party websites that Tipalti may provide are for Customer’s convenience only, and Tipalti and its service providers do not sponsor or endorse such websites. Any third-party services, which Customer may access through the Tipalti Services, are services of those organizations. Neither Tipalti nor its service providers will be responsible for transactions and inquiries Customer initiates at third-party websites. In no event shall Tipalti or its service providers be liable for damage or harm arising out of Customer’s use of any third-party services.
6. Limitation of Services. Customer may experience technical or other difficulties using the Flinks Service. In no event will Tipalti, Flinks or their service providers be liable for such difficulties or resulting damage. Data displayed or provided in the Flinks Service is only for informational purposes, does not represent an official record of Customer’s account, may not reflect Customer’s most recent transactions, and should not be relied on for transactional purposes. Tipalti, Flinks and their respective service providers reserve the right to change, suspend or discontinue any or all the Flinks Service, at any time, without prior notice.
7. Disclaimer of warranties. Use of the Flinks Service and all information, products and content (including that of third parties) included in or accessible from the Flinks Service is at Customer’s sole risk. The Flinks Service is provided on an “as is” and “as available” basis. Tipalti and Flinks expressly disclaim all warranties of any kind as to the Flinks Service and all information, products and content (including that of third parties) included in or accessible from the Flinks Service, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement. Tipalti and Flinks make no warranty that (1) the Flinks Service will meet Customer’s requirements (2) the Flinks Service will be uninterrupted, timely, or error-free (3) the quality of any products, services, information, or other material purchased or obtained by Customer through the Flinks Service will meet Customer’s expectations (4) any errors in the technology will be corrected. Any material downloaded or otherwise obtained through the use of the Flinks Service is done at Customer’s discretion and risk and Customer is solely responsible for damage to its computer system or loss of data that results from the download of material. No advice or information, whether oral or written, obtained by Customer from Tipaltior Flinks through or from the Flinks Service will create any warranty not expressly stated in this Flinks schedule.
8. Limitation of Liability. To the maximum extent allowed under applicable law, in no event shall Tipalti, Flinks, or any their affiliates, be liable for costs, damages, expenses or other harm of any kind, whether direct, indirect, incidental, special, consequential, exemplary, punitive or otherwise, including, but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses relating to the Flinks Service, including those resulting from (1) the use or the inability to use the Flinks Service (2) the cost of getting substitute goods and services (3) any products, data, information or services purchased or obtained or messages received or transactions entered into, through or from the Flinks Service (4) unauthorized access to or alteration of Customer’s transmissions or data (5) statements or conduct of anyone on the Flinks Service (6) the use, inability to use, unauthorized use, performance or non-performance of any third party account provider site, even if advised of the possibility of such damages (7) any other matter relating to the Flinks Service. Customer must bring any claim in relation to Tipalti’s Services, Tipalti’s processing of Customer Data, any misleading representation made by Tipalti related thereto, or any claim that Customer Data does not represent an official record of Customer’s account, to Tipalti, and not to Flinks. Customer hereby waives its right to bring such a claim for any of the foregoing against Flinks or its affiliates.
9. Indemnity. Customer will defend Tipalti and Flinks and their respective affiliates (at each of Tipalti’s and Flinks’ option), against any third party claims, actions, proceedings and suits and reimburse, indemnify and hold Tipalti and Flinks harmless from all related resulting liabilities, damages, settlements, penalties, fines, costs, and expenses (including, but not limited to, reasonable legal fees and costs) arising from (1) Customer’s use of the Flinks Service (2) Customer’s violation of the Flinks Schedule (3) infringement by any other user of Customer’s account, of any intellectual property or other right of anyone.
10. Acceptance and Changes. Customer’s use of the Flinks Service will be deemed as Customer’s acceptance of this Schedule. This Schedule is subject to change. Tipalti will notify Customer of a material change to this Schedule on its website by providing a link to the revised Schedule. The Customer’s continued use of the Flinks Service will be deemed as Customer’s acceptance of a revised Schedule. The parties hereby deem the licenses, user obligations, and authorizations described in this Schedule as ongoing.
